How It Works

You provide us with a person who holds a Mexican RFC (Tax ID). This can be you personally (if you have a Mexican RFC) or someone you completely trust — a family member, business partner, or close associate.

This person will appear in your company's incorporation deed (Acta Constitutiva) as the Legal Representative of the company.

Important: The person you designate does NOT need to visit the SAT (Mexican Tax Authority) or perform any administrative procedures. Lead the Future handles the entire RFC process for the company on their behalf.

This timeline is strictly conditioned upon full cooperation from both buyer and seller throughout the entire process, as well as the developer or seller having 100% of the required documentation fully complete, valid, and immediately available. There must be no possession issues, title irregularities, unresolved liens affecting the property, construction deficiencies, or delivery disputes that could impede closing.

Important: If the seller or developer does not have 100% of the required documentation ready and compliant at the time of engagement, the closing process cannot commence and the timeline will not begin to run. Any delay in providing complete and proper documentation will automatically prevent the start of the process and suspend any projected time estimates.

Deed registration with the relevant authorities typically requires an additional 6 to 9 months after closing.

Important: Timelines are always subject to government authority processing times and bank availability. The Firm prioritizes and expedites coordination but does not include extraordinary acceleration services.

Scope Delimitation, Express Exclusions & Limitation of Responsibility

For purposes of clarity and legal certainty, the Buyer Package is strictly limited to the legal structuring and transactional coordination of a voluntary real estate acquisition process. The Firm's role is confined to facilitating the orderly execution of a purchase transaction under conditions of mutual consent between the parties.

Any service, obligation, cost, or deliverable not expressly included within the agreed scope of engagement shall be deemed excluded and, if required, must be formalized through a separate written agreement.

This engagement does not include notarial fees, property transfer taxes, acquisition tax (ISAI), Public Registry or Cadastre fees, banking or trust (fideicomiso) expenses, escrow costs, governmental permits or authorizations, appraisals, immigration procedures, ongoing accounting or tax compliance services beyond transactional structuring, translations, apostilles, legalizations, certified copies, drafting or notarization of powers of attorney, additional corporate structuring, or international tax advisory. Any such services, if necessary, shall be quoted and retained independently.

Furthermore, the Buyer Package does not extend to contentious, adversarial, enforcement-related, or dispute-driven matters. The Firm does not assume responsibility for analyzing or prosecuting contractual breaches, pursuing recovery of funds, preparing or strategizing litigation, addressing construction-related controversies, participating in mediation or settlement processes, issuing formal demands, or engaging in conflict-based negotiations with the developer or any third party on the Client's behalf. If the transaction evolves into a dispute scenario — including delays, non-compliance, construction deficiencies, delivery disputes, or any circumstance requiring defensive or offensive legal action — such matters fall outside the scope of this engagement and require a separate retainer agreement.

Additionally, the Firm does not conduct, supervise, or assume responsibility for any physical inspection, architectural review, engineering assessment, or technical evaluation of the property subject to the transaction. The Firm does not verify or warrant the physical condition of the property, the quality or structural integrity of the construction, compliance of installations or building systems, the existence of latent defects, conformity with architectural plans or marketing materials, or compliance with zoning, building, or environmental regulations. Should the Client elect to obtain a physical inspection or technical report, such services must be retained independently and at the Client's sole cost and responsibility. Any referral provided by the Firm shall not constitute endorsement, supervision, or assumption of liability.

Limitation of Liability. To the fullest extent permitted under applicable law, the Firm, its partners, attorneys, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from matters outside the expressly defined scope of this engagement, including but not limited to issues related to the physical condition of the property or dispute-related circumstances, regardless of the legal theory asserted.

The Buyer Package is strictly transactional in nature and does not create any obligation beyond the services expressly contracted herein.

Terms & Conditions

Strict Scope. The Buyer Package includes only and exclusively the services described in this proposal. Under no circumstances shall it be interpreted as including additional advisory, negotiation, litigation, or dispute-related services unless expressly agreed in writing.

Payment Terms. Work does not begin without the activation payment. Delays in payment may pause the process. All fees are payable in USD unless otherwise agreed. VAT applies where required by law.

Professional Nature of Services. Lead the Future provides legal advisory under an obligation of means, not of result. We do not control notaries, developers, banks, public registries, government authorities, or third parties. Timelines are estimates subject to external dependencies, including the availability of all required documents and the notary's formal authorization to proceed.

Office Hours & Response Time. LEAD guarantees attention Monday to Friday, 10:00 am to 4:00 pm (CST). Official contact: [email protected]. Maximum response time: 3 business days.

Prices. Valid for the first semester of 2026. Updates will be communicated via email.

Non-Compliance. LEAD may restrict, suspend, or cancel the service without liability when there is a lack of payment after the second written request.

Liability. LEAD is solely obligated to provide information about the service to the client. Third parties must verify identity through a signed letter of instruction.

Confidentiality. Both parties are obligated to maintain strict confidentiality regarding all documentation. These Terms & Conditions serve as the contract for the provision of legal services.

This engagement does not include: extra payments of rights or fees payable directly to government authorities  ·  costs to be paid directly to consulates, INM, or any other authority  ·  execution of the first process in the country of origin (consular appointment attendance by the client)  ·  application for residence in a location other than Puerto Escondido, Huatulco, or Oaxaca  ·  on-site or in-person assistance during the exchange process (unless expressly stated)  ·  translation or apostille services  ·  travel arrangements  ·  housing or relocation assistance  ·  any services not expressly described in this proposal.

Limitation of Liability. To the fullest extent permitted under applicable law, the Firm, its partners, attorneys, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the denial, delay, or revocation of a visa or residency permit by the Mexican government, or from any matter outside the expressly defined scope of this engagement.

The Mexican Residency Package is strictly advisory and procedural in nature and does not create any obligation beyond the services expressly contracted herein.

Terms & Conditions

Strict Scope. The Mexican Residency Package includes only and exclusively the services described in this proposal. Under no circumstances shall it be interpreted as including additional services unless expressly agreed in writing.

No Guarantee of Approval. The client expressly acknowledges and accepts that the granting or denial of any visa, residency permit, or immigration status is the sole and exclusive decision of the Mexican Consulate and/or the National Immigration Institute (INM). Lead the Future provides legal advisory and application structuring services only. The Firm does not guarantee, represent, or warrant approval of any application under any circumstance. No refund is due in the event of denial by the authorities.

Payment Terms. Work does not begin without the activation payment. Delays in payment may pause the process. All fees are payable in USD unless otherwise agreed. VAT applies where required by law.

Professional Nature of Services. Lead the Future provides legal advisory under an obligation of means, not of result. We do not control immigration authorities or government decisions. Timelines are estimates subject to external dependencies.

Office Hours & Response Time. LEAD guarantees attention Monday to Friday, 10:00 am to 4:00 pm (CST). Official contact: clientcare@leadthefuturemx.com. Maximum response time: 3 business days.

Prices. Valid for the first semester of 2026. Updates will be communicated via email.

Non-Compliance. LEAD may restrict, suspend, or cancel the service without liability when there is a lack of payment after the second written request.

Personalized Closing Cost & Capital Gains Tax Projection

We provide a structured financial breakdown of: notarial fees (estimated), required certificates, mandatory transaction-related expenses, Capital Gains Tax (ISR) projection, and estimated net proceeds. The ISR is calculated in advance based on acquisition history, updated fiscal criteria, allowable deductions, and transaction structure. You will have clarity regarding the tax base, projected ISR amount, and estimated net proceeds. This eliminates uncertainty at closing and allows informed decision-making from the outset.

Integrated ISR Legal Reduction Strategy

Upon formal engagement, the ISR reduction strategy is activated. This is a coordinated legal and fiscal process involving the Notary Public, tax authorities, legal department, and banking institutions. It includes: recovery and reconstruction of historical documentation, integration of a structured fiscal file, alignment of acquisition values and deductible concepts under applicable tax law, coordination with notary for proper ISR base calculation, and submission of supporting documentation. This ensures a legitimate, legally permitted reduction of ISR. No aggressive schemes. No speculative interpretations. Only structured, lawful tax optimization.

Express Fideicomiso Extinction Coordination

If the property is held under a bank trust (fideicomiso), we coordinate the extinction process. Under standard banking procedures, trust cancellation typically requires 9 to 12 months. Through structured coordination and parallel documentation management, we prepare the extinction request file from the beginning, align documentation simultaneously with the notary, coordinate directly with the trustee bank, and monitor compliance timelines. Our approach allows completion in under 3 months, subject to regulatory compliance.

LOI & Transaction Structure Review

We review and advise on: Letter of Intent (LOI), purchase offers, proposed pricing structure, and capital gains implications. The objective is to ensure the structure does not generate unnecessary tax exposure, the timeline aligns with fideicomiso extinction, and the transaction protects the seller’s fiscal position.

Document Preparation & Compliance File

We transform your documentation into a complete “Ready-to-Close” file. This includes coordination for: commercial appraisal (avalúo), review of title deed, cadastral certificates, property tax receipts, no-debt certificates, and tax alignment documentation. The closing process formally begins only once the seller’s file is complete and compliant. We ensure it is.

End-to-End Institutional Coordination

We coordinate directly with: the notary, trustee bank, buyer’s representatives, and real estate agents. The seller does not engage directly with government offices, banking departments, or regulatory entities. All procedural communication is managed through our firm.
