This timeline is strictly conditioned upon full cooperation from both buyer and seller throughout the entire process, as well as the developer or seller having 100% of the required documentation fully complete, valid, and immediately available. There must be no possession issues, title irregularities, unresolved liens affecting the property, construction deficiencies, or delivery disputes that could impede closing.
Deed registration with the relevant authorities typically requires an additional 6 to 9 months after closing.

For purposes of clarity and legal certainty, the Buyer Package is strictly limited to the legal structuring and transactional coordination of a voluntary real estate acquisition process. The Firm's role is confined to facilitating the orderly execution of a purchase transaction under conditions of mutual consent between the parties.
Any service, obligation, cost, or deliverable not expressly included within the agreed scope of engagement shall be deemed excluded and, if required, must be formalized through a separate written agreement.
This engagement does not include notarial fees, property transfer taxes, acquisition tax (ISAI), Public Registry or Cadastre fees, banking or trust (fideicomiso) expenses, escrow costs, governmental permits or authorizations, appraisals, immigration procedures, ongoing accounting or tax compliance services beyond transactional structuring, translations, apostilles, legalizations, certified copies, drafting or notarization of powers of attorney, additional corporate structuring, or international tax advisory. Any such services, if necessary, shall be quoted and retained independently.
Furthermore, the Buyer Package does not extend to contentious, adversarial, enforcement-related, or dispute-driven matters. The Firm does not assume responsibility for analyzing or prosecuting contractual breaches, pursuing recovery of funds, preparing or strategizing litigation, addressing construction-related controversies, participating in mediation or settlement processes, issuing formal demands, or engaging in conflict-based negotiations with the developer or any third party on the Client's behalf. If the transaction evolves into a dispute scenario — including delays, non-compliance, construction deficiencies, delivery disputes, or any circumstance requiring defensive or offensive legal action — such matters fall outside the scope of this engagement and require a separate retainer agreement.
Additionally, the Firm does not conduct, supervise, or assume responsibility for any physical inspection, architectural review, engineering assessment, or technical evaluation of the property subject to the transaction. The Firm does not verify or warrant the physical condition of the property, the quality or structural integrity of the construction, compliance of installations or building systems, the existence of latent defects, conformity with architectural plans or marketing materials, or compliance with zoning, building, or environmental regulations. Should the Client elect to obtain a physical inspection or technical report, such services must be retained independently and at the Client's sole cost and responsibility. Any referral provided by the Firm shall not constitute endorsement, supervision, or assumption of liability.
Limitation of Liability. To the fullest extent permitted under applicable law, the Firm, its partners, attorneys, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from matters outside the expressly defined scope of this engagement, including but not limited to issues related to the physical condition of the property or dispute-related circumstances, regardless of the legal theory asserted.
The Buyer Package is strictly transactional in nature and does not create any obligation beyond the services expressly contracted herein.
Strict Scope. The Buyer Package includes only and exclusively the services described in this proposal. Under no circumstances shall it be interpreted as including additional advisory, negotiation, litigation, or dispute-related services unless expressly agreed in writing.
Payment Terms. Work does not begin without the activation payment. Delays in payment may pause the process. All fees are payable in USD unless otherwise agreed. VAT applies where required by law.

Government Decision Disclaimer. The granting or denial of any visa or residency permit is the sole and exclusive decision of the Mexican Consulate and/or the National Immigration Institute (INM). Lead the Future does not guarantee, represent, or warrant that any application will be approved, regardless of the quality of preparation. The Mexican government retains absolute discretion over all immigration decisions. Lead the Future Law Firm does not guarantee that the client will obtain the visa on the first attempt or at all.

The ISR is calculated in advance based on acquisition history, updated fiscal criteria, allowable deductions, and transaction structure. You will have clarity regarding the tax base, projected ISR amount, and estimated net proceeds. This eliminates uncertainty at closing and allows informed decision-making from the outset.
Upon formal engagement, the ISR reduction strategy is activated. This is a coordinated legal and fiscal process involving the Notary Public, tax authorities, legal department, and banking institutions. It includes: recovery and reconstruction of historical documentation, integration of a structured fiscal file, alignment of acquisition values and deductible concepts under applicable tax law, coordination with notary for proper ISR base calculation, and submission of supporting documentation. The professional fee of USD $800 corresponds exclusively to legal advisory and coordination services. The following items are expressly excluded and billed separately where applicable:
Costs related to fideicomiso extinction payable to the trustee bank · notarial fees · bank fees · government taxes · commercial appraisal (avalúo) costs · ISR (capital gains tax) payable by the seller · government processing fees · speed-of-process fees imposed by banks or authorities · additional legal structures beyond standard assistance · apostille services · official Spanish translations of foreign documents (mandatory when required) · Power of Attorney (POA) drafting or execution.
External costs are paid directly to the corresponding institution or billed separately as applicable.
Strict Scope. The Seller Package includes only and exclusively the services described in this proposal. Under no circumstances shall it be interpreted as including additional services unless expressly agreed in writing.
Payment Terms. Work does not begin without the activation payment. Delays in payment may pause the process. All fees are payable in USD unless otherwise agreed.
Professional Nature of Services. Lead the Future provides legal advisory under an obligation of means, not of result. Timelines are estimates subject to external dependencies including bank processing, notary availability, and government authority schedules.
Office Hours & Response Time. LEAD guarantees attention Monday to Friday, 10:00 am to 4:00 pm (CST). Official contact: clientcare@leadthefuturemx.com. Maximum response time: 3 business days.
Non-Compliance. LEAD may restrict, suspend, or cancel the service without liability when there is a lack of payment after the second written request.
Confidentiality. Both parties are obligated to maintain strict confidentiality regarding all documentation. These Terms & Conditions serve as the contract for the provision of legal services.
Jurisdiction. Governed by the laws of Mexico. Competent courts: Oaxaca, Mexico.
